Pdf Summary
This educational presentation addresses the Federal Trade Commission’s (FTC) proposed rule to ban non-compete agreements and its implications. Historically, non-compete enforceability has depended on state laws, but recently many states have restricted such clauses. The FTC’s proposed rule defines non-competes broadly, prohibits them for all workers, requires rescission of existing agreements with notice, and allows only a very limited exception related to business ownership transfers.

The rule aims to classify non-competes and certain similar restrictive covenants (e.g., non-solicitation, non-disclosure agreements viewed as de facto non-competes) as unfair trade practices under Section 5 of the FTC Act. Enforcement would also involve the Department of Labor (DOL) and states. The FTC’s goal is to increase workforce mobility and protect competition.

However, the proposal faces significant potential legal challenges. Issues include concerns under the non-delegation doctrine regarding the scope of rulemaking authority, questions about lacking clear statutory authority to enact a nationwide ban, and weak empirical evidence demonstrating consumer or competitive harm from non-competes. The rule would preempt many state laws and invalidate millions of contracts, raising further jurisdictional and economic concerns.

Employers are advised not to panic but to review their current agreements and consider business justifications and alternative protections, consulting counsel as needed. Stakeholders are encouraged to submit public comments presenting legal arguments, empirical and anecdotal evidence, and highlight costs or drawbacks of the proposed rule to influence the final outcome.

This presentation underscores the importance of engaging in the regulatory process to protect business interests and highlights ongoing debates about balancing employee mobility with legitimate employer protections.
