Pdf Summary
COSO’s 2017 executive summary updates its 2004 Enterprise Risk Management framework to reflect a more volatile, complex, and data-driven business environment. The central message is that enterprise risk management (ERM) should not be treated as a standalone compliance activity, but as an integrated part of strategy-setting, execution, performance management, governance, and reporting.

The document explains that effective ERM helps organizations make better decisions by considering both downside risks and upside opportunities. It emphasizes three strategic questions: whether a chosen strategy aligns with the organization’s mission, vision, and core values; what risks are embedded in the strategy itself; and how those risks affect performance and resource allocation.

The updated framework is built around five components:
1. Governance and culture
2. Strategy and objective-setting
3. Performance
4. Review and revision
5. Information, communication, and reporting

These are supported by 20 principles that guide organizations of all sizes and sectors. The summary also clarifies common misconceptions: ERM is not a department, a checklist, a risk list, or limited to internal control. Instead, it is an organization-wide set of capabilities and practices.

Key benefits of ERM include expanding opportunities, identifying entity-wide risks, reducing surprises, improving resource deployment, reducing performance variability, and strengthening resilience. The framework also highlights the board’s growing oversight role and management’s responsibility to use ERM in strategy selection and execution.

Looking ahead, COSO notes that ERM must evolve with trends such as expanding data, artificial intelligence, automation, and the need to manage risk-related costs more efficiently. Overall, the framework aims to help organizations create, preserve, and realize value while adapting to change and maintaining stakeholder trust.
